Program Overview The object of this Affiliate Program agreement is as follows: The affiliate will be allowed to legally advertise the Nature's Lawn & Garden, Inc. (NL&G) product website through authorized internet methods for the purpose of receiving commissions on sales coming directly from your unique link. By joining this program you are bound by the terms and conditions of this agreement. The NL&G Affiliate program is a simple business agreement between two independent parties. Nothing in this Agreement will create a partnership, agency, franchise, sales representative, or other employment relationship. All copyrighted material and trademarked names and logos used in accordance with this Agreement remain the exclusive intellectual property of NL&G. This Agreement may not be transferred or sold to another party. Affiliate Links and Materials Upon acceptance as an Affiliate, you will be supplied a choice of graphic and text links with a unique HTML link code that tracks your referrals to our site. This should be set up according to our instructions and not altered in any way. If you wish to use any illustrations or text from our website, you must obtain approval from NL&G in advance. All illustrations, logos, website text, brand names are protected and copyrighted. Upon termination of the Affiliate Program Agreement, all rights to use any of the above will be terminated. Affiliate Approval and Restrictions After submitting your application we will make our best effort to determine your eligibility as an approved website, Email list or newsletter. We reserve the right to deny or terminate the Affiliate Agreement if your website or advertising has or is linked to: Illegal content; Depictions of violence; Sexually explicit material; Discriminatory, offensive or defamatory statements; Depictions with regard to race, sex, religion, nationality, disability, sexual orientation or age. Additionally, your Affiliate status can be denied or terminated for: Inappropriate advertisements (False claims, misleading hyperlinks); Spamming (mass email, mass newsgroup posting, etc.); Violation of intellectual property rights; Statements damaging to third parties. SPAM Compliance Statement: ALL affiliates are strictly prohibited from sending any email marketing messages including SPAM or UCE (Unsolicited Commercial Email). It is the full responsibility of the Affiliate to use their NL&G link in a legal, ethical and honest fashion and by entering this agreement the Affiliate agrees that NL&G will be held harmless from any and all actions of the Affiliates marketing and promotional programs. Commissions NL&G will pay the affiliate a referral fee of 10% on retail orders placed by customers arriving at our website directly through the Affiliate's link. This will be based on net product cost before shipping. The remuneration will be calculated at the end of each month. Checks will be issued by the 15th of the following month. A minimum of $30 in commissions must be accumulated for a check to be issued. If the Affiliate commission total is less than $30, it will be carried over into the next month's totals. If an order is cancelled or the product is returned before it has been used, NL&G will deduct the corresponding commission amount from the next Affiliate commission check. Affiliates can use their link for placing their own orders, however they cannot use any additional NL&G Coupons or Discount Codes with these orders. It is the responsibility of the Affiliate to inform NL&G of any change of address. Store Credits can be issued in lieu of commission checks if the Affiliate so desires. Liability The affiliate is responsible for the development, running and maintenance of his web site, newsletter or email list, as well as for all material appearing on it. The Affiliate shall indemnify and hold NL&G harmless from any and all legal actions, damages or liabilities incurred from the day-to-day operations of Affiliate. Under no circumstances will NL&G be liable whether in tort, contract or otherwise for indirect, incidental, consequential, special or exemplary damages (including but not limited to damages for any loss of revenue, profits, business interruption, loss of business information or data, loss of goodwill, work stoppage, hardware or software failure, or other pecuniary loss) arising from or relating to any provision of this Agreement or the program. Without limiting the foregoing, NL&G aggregate liability arising with respect to this Agreement will not exceed the total fees paid or payable to the Affiliate under this agreement. NL&G reserves the right to change the conditions of participation and to amend or terminate this Agreement at any time, with or without notice to the Affiliate.
